On this page you will provide your contact information and session details, choose your preferred time slot, and sign your contract. Spots are extremely limited. If you have already paid for a Session, completing and signing this form secures your time and date. If you have not yet paid, completing and signing this form holds your time and date for 24 hours. Jill will follow up to confirm your appointment and process payment. If payment is not received within 24 hours, your spot will be forfeited.

The Proof Photography Session Agreement

TERMS AND CONDITIONS

The person whose signature appears on the last page shall be the CLIENT for this contract, the person financially responsible for all payments to be made under this contract, and the one to whom the Photographer JILL NISSEN/THE PROOF PHOTOGRAPHY LLC delivers its products.  

Entire Agreement: This agreement contains the entire understanding between The Proof Photography and the CLIENT. It supersedes all prior and simultaneous agreements between the parties. Any additions or changes to this agreement must be made in writing, signed by all the parties. In the event that the parties waive a portion of this agreement, the contract is not waived in its entirety. Any strikethroughs must be initialed and dated by both parties to be effective.

1. Payment and Scheduling

Payment: A signed contract and a non-refundable retainer amount of $195 are due at time of booking to reserve the time and date agreed upon by both parties. 

What's included?

  • Individual Portrait Session: Includes up to 20 minutes of photography with one look/outfit at the specified location.
  • Standard Edits: Standard edits include removing unflattering images, correcting lighting and color temperature, straightening the horizon, and cropping the image if necessary.
  • Viewing Appointment: Once your images are complete, we will schedule a Zoom session to review your images and product samples.
  • One digital portrait suitable for online sharing and printable to 8x10.
  • $100 Product Credit (enough to purchase 25 premium grad announcements, one mounted ready-to-display gift portrait, three lustre print sheets up to 8x10, or use towards a larger collection). No minimum purchase necessary.

What's NOT included?

  • Professional Hair and Makeup: You are responsible for arriving with hair and makeup camera-ready, and for bringing additional product for touch-ups throughout the session. Please ask for our recommended vendor list if you wish to hire a professional hair and/or makeup artist for your session.
  • High Resolution Digital Files: You may purchase high-resolution digital files at your ordering appointment for $125 each, $400 for four, or $800 for all.
  • Prints and Products: I offer a carefully curated selection of high quality, professionally printed products to display and enjoy your images. You may choose from canvas, metal, and framed wall art, keepsake boxes, heirloom albums, and custom cards and announcements. No minimum purchase required - buy only what you love, want, and need! 
  • Sales Tax & Shipping: You are responsible for paying all sales tax and shipping charges on your order, if applicable.

2. Session Details

It is understood The Proof Photography/Jill Nissen is the exclusive official photographer retained to perform the photographic services requested on this Contract.

Cooperation: The parties agree to cheerful cooperation and communication for the best possible result within the definition of this assignment. The Photographer will not be held accountable for not photographing desired people if key individuals fail to appear or cooperate during photography sessions. The Proof Photography is not responsible for missed images due to details not communicated by the client prior to the session.

Locations: Sessions that require multiple trips and/or multiple locations may incur a travel fee of 54.5 cents per mile based on actual mileage in excess of 30 miles. The CLIENT should notify the Photographer at booking or at least 7 days in advance of all the desired locations, directions, and addresses. The total session time will include travel time between locations, and thus may result in reduced shooting time, and fewer images. 

Props: The CLIENT is responsible for bringing any personal props that they would like in their photos. In the event that the CLIENT has forgotten a prop for the session and wants photos with that prop, the CLIENT will be charged for an additional session at the photographer’s hourly rate ($125/hr) to reschedule or shoot additional photos.

What to Wear: Solid colors and simple accessories work best. Choose outfits that fit comfortably, allow movement, and flatter you. Avoid sleeveless tops, baggy clothing, horizontal stripes, bold plaids, loud patterns, and clothing with writing or big logos on the front. Layers like jackets, sweaters, scarves, etc. can be quickly added/removed for a different look. IMPORTANT: Please bring your clothing selections on hangers and make sure each piece of clothing is clean and neatly pressed! Lint, spots, stains, and wrinkles WILL show!

Adverse Conditions: If, in the opinion of the photographer, inclement weather (rain, snow, wind, heat, etc.) or other adverse conditions (mud, crowds, construction, etc.) would jeopardize the safety of the individuals or equipment, or prevent the creation of a portrait meeting the artistic standards of the studio/photographer, the Photographer will contact the CLIENT with as much advance notice as possible to discuss the options, and if necessary the session will be moved to an alternate location, and/or the next available day and time. 

Tardiness: Please plan to arrive at your session 5-10 minutes early. The Photographer will make every effort to begin and end sessions on time. In the event that the CLIENT is running late to the appointment, it is common courtesy to notify the Photographer via phone/text. However, the Photographer is only obligated to wait at the agreed upon meeting location until 15 minutes after the session start time. Tardiness on the client's part results in reduced shooting time, which may result in fewer images presented by the Photographer. The Photographer cannot guarantee a time extension on sessions and will not delay the start time of another session to make-up for lost time. In the event that the CLIENT does not arrive within 15 minutes of the session time and date, they shall forfeit their deposit and will be required to pay another deposit and any other fees incurred before scheduling a makeup session. 

Cancellation and Rescheduling Policy: With a minimum 48 hours’ notice, the CLIENT may reschedule their session to the next available day and time, and transfer their deposit to the new date. NOTE: The Photographer’s pricing and packages covered by this Contract are only guaranteed for the specified session date. This pricing is adjusted periodically and future sessions will be charged at the current rates. Additionally, any location and/or permitting fees paid to third parties may not be transferable, and the CLIENT will be responsible for any fees incurred as a result of transferring the date. If notification is not made 48 hours prior, there will be a convenience fee of $50 to reschedule the session. If the CLIENT does not show for the scheduled session, fails to contact the Photographer to reschedule, or cancels the contract with or without advance notice, the deposit amount shall be liquidated damages to The Proof Photography and will not be refunded. Unless the Studio is able to fully replace the cancelled reservation, all session fees and deposits are nonrefundable, even if the portrait is rescheduled or canceled for any reason other than inclement weather.


3. Image and Product Delivery

No part of any order, including previews, will be delivered until the entire balance is paid in full.

Completion Schedule: Image backup, standard photo editing, and preparing the online proofing gallery takes approximately 1-2 weeks, but may take longer. In the event that image delivery is outside of this time, the CLIENT will be notified via email before the due date. 

Extensive Editing Policy: Standard photo editing includes exposure and color correction, and will be provided in the agreed upon timeline for all gallery images. Converting color images to black and white, cropping for various print and publication sizes, and smoothing the skin will be performed upon request on any images the CLIENT has purchased. Any additional editing requested by the CLIENT such as beauty retouching, extracting subjects from the background, and/or compositing, will be quoted on a case-by-case basis. Rates begin at $25 per image, to be paid prior to any additional editing being completed. 

Copyrights: The photographs produced by The Proof Photography are protected by Federal Copyright Law (all rights reserved) and may not be reproduced in any manner without The Proof Photography’s explicit written permission. Content including digital negatives, edited files, and previews remain the exclusive property of this Studio/Photographer. This agreement permits the CLIENT a gallery of watermarked images for personal use. Commercial usage, including the sale and publication of the resulting images, is expressly prohibited under this contract. If the Client wishes to submit photos for a contest and/or publication, written permission must be given by JILL NISSEN/THE PROOF PHOTOGRAPHY LLC prior to submission. Commercial licensing fees may apply.

Attribution: The CLIENT agrees to credit the Photographer in a reasonable manner whenever the images are printed or displayed with this text: “Photo(s) by Jill Nissen, TheProofPhotography.com” or by tagging the Photographer @theproofphotography on social media.


4. Release and Indemnification

Client NegligenceIf negligence on the CLIENT's part (or the part of any individuals that accompany the CLIENT to the photo session) causes damage to any of the Photographer’s equipment, props, or property, the CLIENT will be liable for the cost to repair or replace said item(s).

Safety: The Photographer reserves to right to terminate coverage and leave the location if s/he experiences inappropriate, threatening, hostile or offensive behavior from person(s) at the session; or in the event that the safety of the Photographer is in question.

Disclaimer: While every attempt is made to create the best images possible, no particular image is guaranteed. This limitation of liability will also apply in the unlikely event that the high-resolution digital images are lost through camera malfunction, damaged in processing, stolen, or otherwise destroyed for reasons within or beyond The Proof Photography’s control.

Model Release: The CLIENT hereby grants The Proof Photography and its legal representatives and assigns, the irrevocable and unrestricted right to use and publish photographs of the CLIENT or in which the CLIENT may be included, for editorial, trade, advertising, display, publication, and any other purpose and in any manner and medium; to alter the same without restriction; and to copyright the same. The CLIENT further waives any and all rights to review or approve any uses of the images, any written copy or finished product. The CLIENT hereby releases The Proof Photography and its legal representatives and assigns from all claims and liability related to said photographs. The CLIENT signing this contract warrants that he or she has actual authority to agree to the use of the likeness of all persons and property included in the portrait in this manner and shall indemnify and defend the Studio/Photographer in the event of litigation arising out of such use. 

Limit of Liability: The Photographer's entire liability to the CLIENT, above named models, or other companions for claim, loss, or injury arising from the photographer’s performance or negligence is limited to a refund to the CLIENT in the amount paid for services. If the Photographer is unable to perform this agreement due to illness, emergency, fire, casualty, strike, act of God or causes beyond the control of the Photographer, The Proof Photography will make every effort to secure a substitute photographer or reschedule the session. If a suitable substitute cannot be found, or if a reschedule is unable to be agreed upon, The Proof Photography shall return the retainer to the client and shall have no further liability with respect to this contract. Further, in the unlikely event that photographic materials are lost, stolen, damaged, or destroyed for reasons within or beyond The Proof Photography’s control, The Proof Photography liability is limited to the return of all payments received for the session package.  The limit of liability for a partial loss of originals shall be a prorated amount of the exposures lost based on the percentage of total number of originals.


5. COVID-19 Notice and Waiver

Client is hereby notified and agrees that:

1. While the Commonwealth of Kentucky has eased or eliminated various COVID-19 based restrictions on businesses, the conduct and performance of the services being provided by the Photographer are subject to those rules in place at the time the photography services are to be performed.

2. Based upon the scope of the social distancing restrictions in place at the time of the photography services, certain aspects of the photographer/client interaction may be altered by necessity.

3. Client and all members of Client’s party agree to abide by the social distancing measures in force at the time of their session or event. Client and members of Client’s party explicitly agree and understand that failure to adhere to such social distancing measures places them at increased risk of COVID-19 exposure or transmission.

4. Client and members of Client’s party assume all risks associated with potential COVID-19 transmission or exposure in relation to the photography services being provided and accept sole responsibility for an illness, injury, damages, claims or expense arising therefrom regardless of the identity of the person alleged to be at fault for such transmission or exposure.

5. As consideration for this waiver, Photographer agrees to waive any liability or claim against Client or members of Client’s party for COVID-19 transmission or exposure.

6. Notwithstanding the foregoing, the Waivers contained in Sections 4 and 5 of this Notice and Waiver shall not be interpreted to prohibit actions or claims against persons who knowingly participate in the photography services while exhibiting COVID-19 symptoms or who knowingly participate while having an active COVID-19 infection.


This Contract incorporates the entire understanding of the parties and is governed by the laws of the city of Louisville, Jefferson County, Commonwealth of Kentucky. Any modifications of this Contract must be in writing and signed by both parties.
